Terms of Service

Effective Date: Aug. 15, 2025

These Terms of Service (“Terms”) govern your access to and use of the BitRobot Network, including all websites, applications, protocols, smart contracts, APIs, and services operated by or on behalf of BitRobot Foundation(“BitRobot,” “we,” “our,” or “us”).

By accessing or using the BitRobot Network, you agree to be bound by these Terms. If you do not agree, do not use our services.

1. Overview of the BitRobot Network

The BitRobot Network is a decentralized coordination protocol for robotics and Embodied AI, enabling the creation and operation of “Subnets” that aggregate resources such as robots, compute, teleoperators, and researchers. Subnets generate outputs such as datasets, AI models, or real-world evaluations, with incentives and governance defined by the protocol.

Participation in the BitRobot Network may involve interacting with on-chain smart contracts, off-chain infrastructure, and third-party integrations. BitRobot Foundation does not custody participant assets, direct Subnet operations, or guarantee the performance of any network participant.

2. Eligibility

You may use the BitRobot Network only if you:

  • Are at least the legal age of majority in your jurisdiction;

  • Have the legal capacity to enter into binding contracts; and

  • Are not barred under applicable law from using blockchain-based protocols or participating in token-based systems.

You represent and warrant that your participation does not violate any law, regulation, or order applicable to you.

3. No Financial, Investment, or Legal Advice

The BitRobot Network is a technical protocol, not a financial product. Nothing on our sites, apps, or documentation constitutes financial, investment, legal, or tax advice. You are solely responsible for evaluating the risks of participation, including economic loss, technology failure, and regulatory changes.

4. Network Participation

4.1 Subnets

Subnets are independently created and operated by third parties. BitRobot Foundation does not control, audit, or guarantee the outputs of any Subnet. Your participation in a Subnet is at your own risk.

4.2 ENTs

Certain network roles may also require or utilize Embodied Node Tokens (ENTs), which are non-fungible tokens representing registered robotic resources. ENTs are not network rewards; they function as identifiers and may be linked to collateral or participation rights within Subnets.

All transactions are executed by smart contracts on the applicable blockchain. BitRobot Foundation does not reverse, cancel, or modify any transaction.

4.3 Collateral and Fees

Certain network roles may require you to post collateral or pay fees (e.g., Subnet registration fees, ENT registration fees, licensing fees). Failure to meet these requirements may limit or revoke your participation rights.

5. Intellectual Property

5.1 Data Contributions

By contributing any data, content, or other materials (“Contributed Data”) to the BitRobot Protocol, you represent and warrant that:

1. Legal Compliance – You have all necessary rights, licenses, consents, and permissions to provide the Contributed Data, and your contribution does not violate any applicable laws, regulations, or third-party rights (including but not limited to intellectual property, privacy, data protection, and export control laws) in your jurisdiction or any jurisdiction where the Contributed Data is collected, processed, or used.

2. No Unlawful Content – The Contributed Data does not contain any material that is unlawful, defamatory, infringing, harmful, or otherwise prohibited under applicable law.

3. Rights Granted to the BitRobot Foundation – You hereby irrevocably assign to the BitRobot Foundation all rights, title, and interest (including all intellectual property rights) in and to the Contributed Data. The BitRobot Foundation shall have the unrestricted right to use, reproduce, modify, distribute, publicly display, perform, and create derivative works from the Contributed Data, including for commercial purposes, without any obligation to you, except as otherwise required by applicable law.

4. License Back – To the extent any assignment is not effective under applicable law, you grant the BitRobot Foundation an exclusive, perpetual, worldwide, royalty-free, fully paid-up, sublicensable, and transferable license to exercise all rights in the Contributed Data for any purpose, including commercial exploitation.

5.2 Foundation Rights

All BitRobot Foundation branding, documentation, and platform code are protected by copyright, trademark, and other intellectual property laws.

6. Disclaimers

The BitRobot Network is provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, express or implied. To the fullest extent permitted by law, BitRobot Foundation disclaims all warranties, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

We do not guarantee:

  • The accuracy or completeness of any Subnet’s outputs;

  • The security or immutability of any blockchain transaction;

  • That your use of the BitRobot Network will produce any specific outcome.

7. Limitation of Liability

To the maximum extent permitted by law, BitRobot Foundation, its directors, officers, employees, contractors, and affiliates will not be liable for:

  • Any indirect, incidental, special, or consequential damages;

  • Loss of profits, data, or goodwill;

  • Any losses arising from smart contract bugs, network failures, hacks, or protocol governance decisions.

Our total liability for any claim arising under these Terms will not exceed USD $10.

8. Indemnification

You agree to indemnify, defend, and hold harmless BitRobot Foundation and its affiliates from any claims, damages, liabilities, and expenses arising from:

  • Your use of the BitRobot Network;

  • Your violation of these Terms; or

  • Your violation of any applicable law or third-party rights.

9. Third-Party Services

The BitRobot Network may integrate or link to third-party services. We do not control and are not responsible for those services. Your use of third-party services is governed solely by their terms.

10. Modifications

We may update these Terms from time to time. The “Effective Date” above will be updated accordingly. Your continued use of the BitRobot Network after any update constitutes acceptance of the revised Terms.

11. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Cayman Islands, without regard to conflict-of-laws principles. Any dispute shall be resolved exclusively in the courts of the Cayman Islands, unless otherwise required by applicable law.
